1. Agreement to Terms

By accessing or using TokenIntel (the "Service"), available at tokenintel.org, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you and TokenIntel ("we," "us," or "our"). We may update these Terms from time to time, and your continued use of the Service after such changes constitutes acceptance of the new Terms.

2. Description of Service

TokenIntel is a cryptocurrency intelligence and analytics platform that provides:

• Market data aggregation and visualization
• Algorithmic market analysis and technical indicators
• Educational content about cryptocurrency and blockchain technology
• Portfolio tracking tools
• Simulated paper trading for educational purposes
• DeFi yield and protocol analytics
• Research reports and market commentary

3. Important Disclaimers

3.1 No Investment Advice

TokenIntel does not provide personalized investment advice. The signals, indicators, analytics, and other information presented on the platform are algorithmic outputs based on publicly available data. They are not recommendations to buy, sell, or hold any cryptocurrency or financial instrument.

Terms like "Long Bias" or "Short Bias" describe algorithmic assessments of market conditions. They do not constitute recommendations for you to take any specific action.

3.2 No Fiduciary Relationship

Your use of TokenIntel does not create a fiduciary relationship between you and TokenIntel. We are not your financial advisor, broker, or agent. We have no duty to act in your best interest.

3.3 You Make Your Own Decisions

Any decisions you make based on information obtained from TokenIntel are solely your responsibility. You should:

• Conduct your own research before making any investment decisions
• Consult with qualified financial, legal, and tax professionals
• Only invest what you can afford to lose
• Understand that cryptocurrency markets are highly volatile and risky

3.4 No Guarantees of Accuracy or Performance

While we strive to provide accurate and timely information, we make no guarantees regarding:

• The accuracy, completeness, or timeliness of any data or analysis
• The performance of any trading signals or indicators
• Future market conditions or asset prices
• The profitability of any strategy discussed on the platform

Past performance is not indicative of future results.

3.5 Paper Trading

The paper trading feature on TokenIntel is a simulated trading environment for educational purposes only. It uses virtual funds and does not involve real money. Performance in paper trading does not guarantee similar results in actual trading.

4. Subscription and Payment

4.1 Free and Paid Services

TokenIntel offers both free and paid subscription tiers. Certain features are only available to paid subscribers ("Pro" membership).

4.2 Pricing

Pro membership is available at:

• $29 per month (billed monthly)
• $300 per year (billed annually)

Prices are subject to change with notice to existing subscribers.

4.3 Free Trial

New users may be eligible for a 7-day free trial of Pro features. At the end of the trial period, you will be automatically charged unless you cancel before the trial ends.

4.4 Refund Policy

Due to the nature of digital services with immediate access:

• You may cancel your subscription at any time
• Cancellation takes effect at the end of your current billing period
• No refunds are provided for partial billing periods
• Annual subscriptions are non-refundable after the 7-day trial period

4.5 Payment Processing

Payments are processed through Stripe, a third-party payment processor. By providing payment information, you agree to Stripe's terms of service. We do not store your full credit card information on our servers.

5. User Accounts

5.1 Account Creation

To access certain features, you must create an account. You agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

5.2 Account Termination

We reserve the right to suspend or terminate accounts that violate these Terms or for any other reason at our discretion.

6. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the Service or servers
• Scrape, crawl, or use automated means to access the Service without permission
• Redistribute, resell, or commercially exploit our content without authorization
• Misrepresent your identity or affiliation
• Use the Service to distribute malware or harmful code

7. Intellectual Property

All content on TokenIntel, including text, graphics, logos, and software, is owned by TokenIntel or its licensors and is protected by copyright and other intellectual property laws.

You may not reproduce, distribute, modify, or create derivative works from our content without express written permission.

8. Third-Party Services and Data

TokenIntel aggregates data from various third-party sources including but not limited to:

• CoinGecko
• DefiLlama
• The Block
• Various blockchain data providers

We are not responsible for the accuracy of third-party data. Third-party services are subject to their own terms and privacy policies.

9. Limitation of Liability

In no event shall our total liability exceed the amount you paid to us in the twelve (12) months preceding the claim.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above limitations may not apply to you.

10. Indemnification

You agree to indemnify and hold harmless TokenIntel and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Any investment decisions you make based on information from the Service

11. Dispute Resolution

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Puerto Rico, without regard to its conflict of law principles.

11.2 Arbitration

Any dispute arising from these Terms or your use of the Service shall be resolved through binding arbitration in Puerto Rico, rather than in court, except that you may assert claims in small claims court if your claims qualify.

11.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

12. Modifications to Service

We reserve the right to modify, suspend, or discontinue any part of the Service at any time without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

13. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and TokenIntel regarding your use of the Service.
